Terms of Service

Draft pending legal review. This document is a starting template and must be reviewed by qualified counsel before it is relied on. It is not legal advice.

These Terms govern access to the Haulsky software-as-a-service platform provided by Haulsky, Inc. ("we", "us") to the business that registers an account ("Customer").

1. The service

We provide a cloud transportation management system, a driver mobile application and related APIs. Features available to Customer depend on the subscription plan selected.

2. Accounts and users

Customer is responsible for its users, for keeping credentials confidential, and for all activity under its account. Customer must have authority to bind the business it registers.

3. Subscription, trial and fees

  • New accounts receive a 14-day trial. No payment method is required during the trial.
  • Fees are charged per truck per billing period, subject to the plan minimum, at the prices published at the time of purchase. Applicable taxes are added.
  • Subscriptions renew automatically until cancelled. Cancellation takes effect at the end of the current period.
  • We may adjust prices at renewal with at least 30 days' notice.

4. Customer data

Customer owns its data. We process it only to provide and improve the service and as described in our Privacy Policy and Data Processing Addendum. After cancellation the account becomes read-only and Customer may export its data; we delete or return data on request, subject to legal retention obligations.

5. Customer responsibilities — safety and compliance

The service helps Customer manage regulatory obligations but does not make Customer compliant. Customer remains solely responsible for compliance with FMCSA regulations (including 49 CFR 392.80 and 392.82 on mobile phone use), employment, privacy and consumer-reporting laws. Customer must obtain any consents required from drivers and other individuals whose data it enters.

6. Acceptable use

Customer will not misuse the service, attempt to access other customers' data, reverse engineer the service, or use it to violate law or third-party rights.

7. Third-party services

Integrations (ELD providers, payment processors, load boards, accounting systems) are governed by Customer's agreements with those providers.

7A. Load boards and third-party data

The customer is responsible for holding its own subscriptions to any load board or other service it connects, and for complying with that service's terms. Haulsky, Inc. connects to a load board only for the functions the board has approved. You must not give another person's login to the service, share a login between people, or use the service to collect data in bulk, and you must not ask us to do so. We may switch off a connection at any time if a provider asks us to, if its terms change, or to protect an account. Data from a load board remains the board's and is shown to you only for your own business use.

8. Availability and support

Service levels and support response times depend on the plan, as published on our pricing page.

9. Warranties and liability

[To be completed by counsel: warranty disclaimer, limitation of liability, indemnities.]

10. Governing law

[To be completed by counsel.]
